1. Acceptance of Terms
By accessing and using the FormationHub website and services, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Description of Services
FormationHub, a service operated by BLINKPAY LLC, provides business formation document filing services. We act as a document filing service and prepare and file business formation documents with the appropriate state agencies on your behalf.
Important: FormationHub is not a law firm and does not provide legal advice. We recommend consulting with a licensed attorney for legal advice specific to your situation.
3. User Responsibilities
You agree to:
- Provide accurate and complete information in all forms and applications
- Review all documents before submission
- Maintain the confidentiality of your account information
- Notify us immediately of any unauthorized use of your account
- Comply with all applicable laws and regulations
4. Fees and Payment
Our service fees and state filing fees are clearly displayed before you submit your order. Refunds and cancellations are governed by Section 5 below. If a filing is rejected due to incorrect information provided by you, additional fees may apply for re-filing.
5. Cancellations & Refunds
Before we submit your filing to the state: you may cancel for any reason and receive a full refund of everything you paid — service fees, state filing fees, and add-on services.
Filing speed:we submit filings quickly. Expedited orders are submitted to the state the same business day; standard orders are typically submitted within the timeframe shown at checkout (currently 1–4 business days), and can be submitted as soon as one business day once they reach our processing queue. If you wish to cancel, contact us as soon as possible.
After we submit your filing to the state: state filing fees are non-refundable once remitted to the state, and our service fee is earned and non-refundable. One exception: if you notify us within 24 hours of purchase that the order was placed by mistake, we will refund 50% of the service fee even if the filing has already been submitted.
Add-on services: any add-on we have not yet performed is refundable individually within 30 days of purchase — an EIN service before Form SS-4 is submitted to the IRS, an operating agreement before delivery, a certified copy before it is ordered, and a BOI report before it is filed.
Rejected or failed filings: if the state rejects a filing for a reason we can correct, we will correct and re-file it at no additional service charge. If the rejection requires your input (for example, a new business name) and you choose not to proceed, we will refund the service fee, any unperformed add-ons, and any amounts the state returns to us. If we are unable to submit your filing at all, you receive a full refund of everything you paid.
Registered Agent service:the Registered Agent service is an annual subscription at the rate disclosed at checkout, and renews automatically each year. We send renewal reminder emails in advance of each renewal; you may cancel before the renewal date at no charge. After the service is active (or after a renewal charge), cancellation entitles you to a prorated refund of the unused term minus a $49 cancellation fee. Appointing a replacement registered agent — including the state's Change of Registered Agent filing and its fee — is your responsibility.
Expedited processing: if you purchased expedited processing and we do not submit your filing the same business day (or the next business day, for orders placed outside business hours), the difference between the expedited and standard service price is refundable upon request.
Timing: we decide refund requests within 3 business days. Approved refunds are issued to the original payment method and typically appear within 5–10 business days. All refund requests must be made within 6 months of the original charge.
Charge disputes: if you believe a charge is incorrect, please contact us before disputing it with your bank — we decide refund requests within 3 business days, while a bank dispute typically takes 30–60 days to resolve.
6. Processing Times
Processing times vary by state and are estimates only. We are not responsible for delays caused by state agencies, holidays, or circumstances beyond our control. Expedited processing options, where available, are subject to state agency procedures.
7. Intellectual Property
All content on this website, including text, graphics, logos, and software, is the property of FormationHub and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
8. Limitation of Liability
FormationHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid for the specific service in question.
9. Indemnification
You agree to indemnify and hold harmless FormationHub and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.
10. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
11. SMS / Text Messaging Program
By opting in to our text messaging program, for example by checking the SMS consent box at checkout or in your account settings and confirming when prompted, you agree to these mobile messaging terms:
- Program description: We send recurring automated text messages to help you complete a business formation or filing you started with us, such as reminders and links to finish your application, which may occasionally include a promotional offer.
- Consent: Your consent to receive texts is not a condition of purchasing any goods or services. Message frequency varies based on your activity.
- Cost: Message and data rates may apply, depending on your mobile carrier and plan.
- Opt-out and help: You can cancel at any time by replying STOP to any message; we will send one confirmation and will not send further texts unless you opt in again. Reply HELP, or contact [email protected], for help.
- Carriers: Mobile carriers are not liable for delayed or undelivered messages.
- Eligibility: The program is available only to users in the United States who are the account holder or an authorized user of the mobile number provided.
- Privacy: Information collected through the program is handled as described in our Privacy Policy. We do not share your mobile number or SMS opt-in consent with third parties for their own marketing.
12. Modifications
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes indicates your acceptance of the modified terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
